Summary:

• On 3 November 2025, Tai Sin Electric Limited completed its acquisition of 99% of BayWa r.e. Solar Systems Co., Ltd. (Thailand Target) and 99.99% of BayWa r.e. Solar Systems Corporation (Philippines Target). The remaining shares in each entity are held to comply with local regulations.

• Consideration paid: USD 5,653,787 (approx. S$7.34 million) for shares; additional funds transferred for repayment of intra-group loans (THB 110 million to Thailand Target, equivalent to S$4.39 million).

• Post-completion, more repayments will be made: THB 23 million (approx. S$0.92 million) from Thailand Target and USD 2,453,275 (approx. S$3.19 million) from Philippines Target to discharge remaining intra-group loans.
