iFAST to Buy 30% of Financial Alliance Parent for S$19.6 Million in Strategic FA Platform Tie-Up

Summary:

  • iFAST Corporation has entered into a conditional agreement to acquire a 30% stake in Financial Alliance Corporation Limited (FACORP), parent of Singapore financial adviser Financial Alliance Pte Ltd and Malaysian planner FA Advisory Sdn Bhd

  • The S$19.575 million cash consideration implies about 16x FY2025 and 12x FY2026 price-to-earnings on iFAST’s estimates, and will be funded through a mix of internal resources and external borrowings after arm’s-length negotiations

  • Financial Alliance is one of Singapore’s largest independent, non-insurer-owned financial advisory firms, with over 450 representatives, a long-standing partnership with iFAST and a track record of consistent profitability; FACORP’s net asset value is about S$13 million

  • iFAST sees the deal as a strategic bridge between its global digital banking and wealth platform and the B2B advisory channel, enabling deeper collaboration, better adviser support and a scalable base for future expansion

  • The group believes Singapore’s FA industry has “substantial growth potential” as scale, efficiency and technology reshape the landscape, and positions FACORP as a likely long-term winner and potential IPO candidate within two to three years

  • CEO Lim Chung Chun said iFAST aims to help FACORP become the first listed financial advisory company on SGX, using it as a reference operating model for the industry

  • FACORP CEO and co-founder Vincent Ee called the partnership a key step toward a future listing and industry leadership, saying the company is investing in governance and organisational depth to build a sustainable, client-centric business

  • Relative figures for the transaction under SGX Rule 1006 are all below 5%, making it a non-discloseable deal, and it is not expected to materially affect iFAST’s EPS or NAV per share for FY2026, though it is expected to be earnings and EPS accretive under normal operating conditions
