Summary:

• H2G Green Limited will acquire the remaining 49% stake in TTJ Greenfuel Pte. Ltd. from TTJ Green Pte. Ltd. for S$3.93 million in cash, raising its interest from 51% to 100%​

• The consideration will be funded from internal resources and is based on a willing-buyer, willing-seller basis after arm’s length negotiations, with no profit guarantee provided by the vendor​

• TTJ Greenfuel is involved in the design, build and operation of waste-to-energy and biomass projects, and will become a wholly owned subsidiary upon completion, consolidating all future earnings to H2G Green​

• The vendor, TTJ Green, is ultimately controlled by TTJ Holdings founder Teo Tong Lim, and the transaction is classified as a discloseable, non-interested person transaction under Catalist rules​
